Frederic Amoudru
President
Frederic Amoudru is a graduate of the Institut d’Etudes Politiques in Paris (1982) and the Institut d’Administration des Entreprises, Sorbonne (1983). He started his professional career in diplomatic service as an attaché of the French Embassy in Gabon in 1983. He joined the banking industry in 1984 and joined the Paribas Group in May 1987, beginning his career with Crédit du Nord in Paris with the position of Area Manager for Southern Africa and Asia. In 1989 he was assigned to London as head of the European Desk, a position he subsequently held in Singapore in 1992, representing both Crédit du Nord and Paribas. In 1995 he was appointed as head of the Multinationals and Structured Finance desk at Paribas Singapore. In 1997 he became head of Paribas Singapore’s Asset Restructuring and Recovery Group, holding this position still after the merger with BNP Paribas in 2000. In May 2003 he was appointed as Head of Territory for India BNP Paribas. In October 2009 he took the position of BNP Paribas Country Manager for Poland, and then member of the Board of Executives of BNP Paribas Bank Polska SA. Since July 2010, he acted president of the Bank Board of Executives and having obtained approval of the Polish Financial Supervision Authority on 14 September 2010, he has been appointed as President of the Board of Executives of BNP Paribas Bank Polska SA.
At the same time, he performs the function of chairman of the Supervisory Board of Towarzystwo Funduszy Inwestycyjnych BNP Paribas Polska SA (Investment Fund Company) and chairman of the Supervisory Board of Fortis Lease Polska sp. z o.o.
Jan Bujak
Senior Vice-President
A graduate of the Law Faculty at the Jagiellonian University in Kraków (1992). He continued legal education at the Postgraduate Studies for Judges (1995). In 1998, he completed an Executive MBA degree at Ecole Nationale des Ponts et Chaussées in Paris and at the University of Bristol. Since the beginning of his professional career in 1992, he has been working for BNP Paribas Bank Polska SA (then the First Polish-American Bank and subsequently, Fortis Bank Polska SA). Among other things, he fulfilled the functions of Clearing Department Director, Deputy Financial Officer, Head of the Accounting Department and Head of the Finance and Control Department. From 2000-2002 he was a member of the Management Board of Fortis Lease Polska. Since April 2003, he has been in the Board of Executives of BNP Paribas Bank Polska SA and, simultaneously, he performed the function of chief financial officer. In years 2005-2007, he was the President of the Board of Executives of the Bank. Since 2007, as Senior Vice-President of the Board of Executives of BNP Paribas Bank Polska SA, Chief Financial Officer he has been supervising the Finance and Legal area.
Furthermore, from 2005 to 2010 he was the Chairman of the Supervisory Board of Towarzystwo Funduszy Inwestycyjnych BNP Paribas Bank Polska SA (investment fund company) and since December 2010, he has been a member of the TFI Supervisory Board.
Jaromir Pelczarski
Vice-President, Head of Operations and Support Services
A graduate of the Faculty of Electronics, Computer Science&Technology at the University of Mining and Metallurgy in Kraków (1992). In 1997, he completed post-graduate studies in banking at the Entrepreneurship&Management School at the University of Economics in Kraków. In 2000, he received an Executive MBA degree at the Ecole Nationale des Ponts et Chaussées in Paris and at University of Bristol. He started his professional career with FX Sp. z o.o., a company specializing in computer systems design, in 1992. He joined BNP Paribas Bank Bank Polska SA (then First Polish-American Bank and, subsequently, Fortis Bank Polska SA) in 1994, first as an IT Specialist, then promoted to the position of the IT Department Director in 1995. Since November 2001, as Head of the Information Systems and Support Services, he has supervised the units responsible for IT management, administration and facilities, security, investments and central procurement. Since May 2003, he has been performing the function of vice-president of the Board of Executives of BNP Paribas Bank Polska SA, supervising the Operations and Business Support area.
Michel Thebault
Vice-President, Head of Personal Finance Business Line
In 1995, he graduated as an Engineer in Agronomic Sciences at Ecole Supérieure de Toulouse and Master of Business and Administration at the Toulouse University. He started his professional career in 1995 as a department store manager of DARTY, the French electronic goods leader, and in 1998 as South East Regional Sales Manager for LIDL, the German leader for food discount in France. In 2000 he joined BNP Paribas group. At first he held the position of Regional Manager of UCB, the mortgage specialised entity of BNP Paribas in France, responsible for the Region Midi Pyrénées based in Toulouse and then for the Region Provence-Alpes based in Marseille. From 2006, he was the General Manager of TEB UCB, the Turkish Greenfield mortgage subsidiary of the Group, where he launched a new Greenfield subsidiary, constituting its legal structure, defining its business model and the product offer as well as IT structure. Since 2008, he has been organising the activity of Personal Finance business line in Poland. Starting from September 2009, as a vice-president of the Board of Executives of BNP Paribas Bank Polska SA, he supervises the Personal Finance area.
Wojciech Kembłowski
Member of the Board, Chief Risk Officer
(aged 41) is a graduate of economics in the Department of Finance and Statistics of the Warsaw School of Economics. At the beginning of his career (since 1993) he joined CSBI SA, a company belonging to the Sygnity group, where he held the position of Head of Analysis in Financial Department. In years 1997-2011, he worked for Raiffeisen Bank Polska S.A., first as a Financial Analyst, then Risk Manager. In 2003, he was appointed as Head of Credit Risk Management Department in Raiffeisen Bank Polska S.A. where he was responsible for corporate, SME and financial institution area. From 2008 to 2011, he held the position of Managing Director of credit risk area. He joined BNP Paribas Bank Polska SA in May 2011 when he was appointed to the Board of Executives and assumed the position of Chief Risk Officer. In October 2011, the Polish Financial Supervision Authority approved the appointment of Mr. Wojciech Kembłowki as member of the Bank Board of Executives.
Marta Oracz
Member of the Board, Human Resources
A graduate of the Teacher Education Studies (Pedagogics) at the Jagiellonian University in Kraków (1992) and Master of Business Administration at the University of Teeside, UK and Cracow University of Economics (1997) as well as post-graduate studies in Labour Law at the Jagiellonian University (2003) and various training in human resources management. Since the beginning of her career in 2002 she has been working for BNP Paribas Bank Polska SA (former First Polish-American Bank SA and, subsequently, Fortis Bank Polska SA). In February 2006 she assumed the position of Human Resources Director. She has carried out many complex projects in that area and built up the image of the Bank as the Best Employer on the financial job market in Poland, confirmed by many awards given to the Bank by prestigious institutions specialised in human capital management.
Marta Oracz is a member of the Polish Human Management Association (Polskie Stowarzyszenie Zarządzania Kadrami) and deputy chairman of the Supervisory Board of BNP Paribas Foundation Poland. Since 1 June 2010 she has been appointed as a member of the Board of Executives of BNP Paribas Bank Polska SA.
Stephane Rodes
Member of the Board and Head of Enterprise & Transaction Banking Business Line
A graduate of Ecole Superieure de Commerce de La Rochelle and holding an MBA degree from the Rotterdam School of Management / Erasmus University in the Netherlands.
Mr. Rodes joined the BNP Paribas group in 1993 as a credit analyst in Budapest, before working as a Relationship Manager in France and then joining in 1998 CIB Risk Management as a credit officer. From 2000 to 2004, Mr. Rodes was delegated to Dresdner Bank and worked as Head of French Desk in Dusseldorf and Frankfurt am Main. In 2004, he moved to the United Arab Emirates to occupy the position of Head of Corporate Desk in Abu Dhabi. In 2006 he was named as the Head of Corporate Banking for BNP Paribas Vostok in Russia. He became a member of the Board of Executives of BNP Paribas Bank Polska SA and took over the position of Head of Enterprise & Transaction Banking within BNP Paribas Bank Polska Polska in July 2010.

Camille Fohl Chairman of the Board
A graduate of Applied Economic Sciences at the Catholic University of Leuven (1979). He also completed the Advanced Management Program at INSEAD, Fontainebleau.
Mr. Camille Fohl joined the BNP Paribas Fortis (Fortis Bank) group in 1986, when he started working for Banque Générale du Luxembourg (BGL) within marketing, corporate banking and retail banking. In 2000 he became a Management Board member of Fortis Bank Luxembourg and was responsible for the Commercial Banking business line in Luxembourg and the Grande Region. He has been in the management board of the Retail Banking business line since 2003, as responsible for the retail network outside the Benelux and since 2005 also the corporate banking (as CEO Commercial Banking). Since 2008 Mr. Camille Fohl has been holding top management positions within Fortis authorities. In 2009 he was appointed to the BNP Paribas Fortis Bank Executive Committee. Furthermore, in BNP Paribas Fortis he is responsible for the Branding and Communications area. Currently, he is also the Chief Executive Officer supervising the international activity of BNP Paribas in the area of Retail Banking Europe Mediterranean.

Lars Machenil Deputy Chairman of the Board
Holds a PhD in nuclear science and an engineering degree in electrotechnics. He started his professional career with Procter & Gamble. Before joining Fortis, he worked for 3 years with McKinsey in Venezuela, Italy and Brussels mainly focusing on Banking and Wireless Communications. Lars Machenil joined the Private Bank of Fortis in 2000 and was in charge of marketing, business development & e-commerce. As of 2002 he became Managing Director at MeesPierson Private Bank and Trust, member of the overall management team. Responsibilities: CFO, risk, finance, operations, IT and business development. In December 2003, he joined the CFO office as Managing Director of the Corporate Control department and has added to this activity – as of February 2005 – Performance Management. Since December 2005 became in charge of Performance, Consolidation and Accounting, a sub-part of the CFO organization. On January 1, 2008 he became the CFO of BNP Paribas Fortis (Fortis Bank).
Appointed to the Supervisory Board of BNP Paribas Bank Polska SA on 30 April 2010, he has been a Deputy Chairman since 5 November 2010.
Mark Selles Member of the Board
Is a graduate of Business Economics (Rijksuniversiteit Groningen, The Nederlands, 1993). He started his career in 1993 in Credit Lyonnais Bank in the Netherlands. In 1996 for one year, he held the position of Manager of Corporate Planning Europe in Sony Europe GmbH in Germany. In 1997 he became Head of Corporate Planning in Nomura Bank International in London. From1999 to 2006 he worked in Banque Générale du Luxembourg as Interim Managing Director Fundamentum Asset Management and CFO Private Banking Region 4. He joined BNP Paribas Fortis (Fortis Bank) in 2006, where he held the position of CFO Retail Banking and Consumer Finance. Furthermore, he is a Member of the Management Board Retail Banking Group and Management Team of Finance, Fortis Group. From 2009 to August 2011 he held the position of Head of Capital Management and Deputy CFO RB Europe Mediterranean at BNP Paribas. At present he is Deputy CEO in Insinger de Beaufort N.V., the Dutch bank related with BNP Paribas Wealth Management and providing services for private banking clients.

Monika Bednarek Member of the Board
A graduate of the University of Warsaw in Biology M.A. – Institute of Experimental Biology - Genetics of the Memory Processes. She started her career in the media in 1992 at Radio ZET Advertising Office. In years 1998-1999 she was the General Director of Radio ZET. Since 1999 appointed as Managing Director, Member of the Board of the Eurozet Group, and in 2001, President of the Management Board of Eurozet Group. She is a member of the International Advertising Association (IAA) in Poland and Vice President of the Polish Confederation of Private Employers Lewiatan. She developed and introduced a new concept of the media radio space for the first time in Poland. Together with other media companies, she created and launched for the first time an advertising campaign, supporting 74 radio stations in Poland. She participated, in cooperation with the Arthur D. Little consulting company, in the process of the merger of Eurozet and Ad.Point, a Polish media company whose shares were acquired in 100% by the Eurozet Group.

Andrzej Wojtyna Member of the Board
A graduate of the Higher School of Economics in Krakow (presently Cracow University of Economics). Since 1992 he has served as the Head of the Macroeconomics Department of the Cracow University of Economics. Professor at the Institute of Economics of the Polish Academy of Sciences (PAN) in Warsaw since 1993. A member of the PAN Committee on Economic Sciences (since 1994), a member of the presidium and the deputy chairman (1996-2002). A member of the editorial committee for "Ekonomista" (since 1994) and "Gospodarka Narodowa" (from 1993) and an editor-in-chief for the latter (since 1997). In the years 1993-1996 he was a member of the Social Planning Council at the Central Office for Planning, and from February 1998 till June 2000 – of the Macroeconomic Council of the Minister of Finance. From November 1994 till 2003 he was a member of the Council of Socio-Economic Strategy at the Council of Ministers, and from January 2003 in the Central Commission for Academic Titles and Degrees. He is a member of the Scientific Council of the Polish Economic Society. He was a member of the Social Team of an economic advisers to the President of the Republic of Poland Aleksander Kwaśniewski. From 2004 to 2010, he was a member of the Monetary Policy Council of the National Bank of Poland.

Jean Deullin Member of the Board
A graduate of Institut d’Administration des Entreprises in Paris, MA in Business Law. His career with BNP Paribas Group began in 1973. Initially working as Sales Inspector, Regional Director and Regional Human Resources Director. In 1987 he took the post of the North France Region Director and in 1990 was appointed as International Marketing Director. In the years 1992-1995 he held the position of Director of Findomestic, Cetelem’s Italian subsidiary, where he was in charge of cards and co-operation with partners. In 1996 he joined the Spanish Cetelem where he was the Commercial Director and after two years became the General Manager of Cetelem Spain. Then in 2003 he accepted the post of the President of the Board of Executives of Cetelem Spain and the Director of Atlantic Zone. From 2006 to 2009 he performed the duties of the Corporate Sales Director. At present he holds the position of Executive Committee member and Chief Executive Officer of BNP Paribas Personal Finance Europe Mediterranean and PF Inside.
